Terms of Service – WappSync

These Terms of Service (“Terms”) govern your access to and use of the WappSync platform, services, APIs, dashboards, and related features (collectively, the “Services”).
By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.
1. Definitions
- WappSync, we, us, or our: refers to the operator of the WappSync platform.
- Customer, you, or your: refers to the legal entity or individual using the Services.
- End Recipient: any user receiving messages sent through the Services.
- Messaging Platforms: third-party messaging services, including but not limited to WhatsApp and Telegram.
- WhatsApp: and its affiliates.
- Telegram: and its affiliates.
- Content: any data, text, message, or information submitted, transmitted, or processed through the Services.
- Assigned Email Address: any email address provided by WappSync to the Customer for message ingestion.
- API Token: any API key, token, credential, or secret issued by WappSync to authenticate access to the Services.
2. Services Description
WappSync provides a technical messaging gateway that enables Customers to deliver Content to third-party Messaging Platforms via messaging accounts, bots, or instances managed by WappSync.
Depending on the selected plan, Services may include delivery of messages to WhatsApp, Telegram, or both.
2.1 Notifier Plans
Emails sent to a Customer-specific Assigned Email Address are delivered as messages from a WappSync-managed messaging account to the Customer’s designated WhatsApp or Telegram account.
Message Storage, Encryption, and Visibility: All messages sent through WappSync, including messages sent to the Customer’s own number, may be stored securely for operational, legal, security, and dispute-resolution purposes. Where message content is stored, it is stored in encrypted form using industry-standard encryption mechanisms.
By the nature of messaging platforms such as WhatsApp, messages are delivered to and appear on the device used to host the messaging account and could technically be visible on that device. WappSync does not actively monitor, read, or review message content. The Customer remains solely responsible for the content of all messages sent through the Services.
2.2 Transactional Plans
Customers send emails to an Assigned Email Address or submit requests via API specifying a recipient identifier (e.g., phone number, username, chat ID, group id).
The Content is delivered via a messaging account, bot, or instance managed by WappSync on behalf of the Customer, appearing to the End Recipient as sent by or on behalf of the Customer.
All messages sent through transactional plans may be stored securely for operational, legal, security, and dispute-resolution purposes. Where message content is stored, it is stored in encrypted form using industry-standard encryption mechanisms. WappSync does not actively monitor, read, or review the messages.
The Customer remains solely responsible for the content, purpose, and legality of all messages sent through the Services.
WappSync acts solely as a technical intermediary and gateway and does not determine the purpose, content, timing, or recipients of messages.
3. No Affiliation with Messaging Platforms
WappSync is not affiliated, associated, authorized by, endorsed by, or in any way officially connected with WhatsApp, Telegram, or any other Messaging Platform.
Customers acknowledge that:
- Messaging Platforms may change their terms, policies, APIs, or enforcement practices at any time.
- Use of the Services may result in message blocking, rate limiting, account, bot, or number restrictions, or suspension or permanent bans.
- WappSync does not guarantee message delivery, account availability, or continued access to any Messaging Platform.
4. Customer Responsibilities
The Customer is solely responsible for:
- The lawfulness of all Content transmitted through the Services.
- Ensuring a valid legal basis exists to contact End Recipients.
- Compliance with all applicable laws and regulations, including GDPR, anti-spam laws, consumer protection, electronic communications laws, and Messaging Platform rules.
- All messages and Content sent through WappSync. Any message transmitted using the Services, Assigned Email Addresses, or API Tokens is the sole responsibility of the Customer, including compliance with all applicable laws and Messaging Platform policies. WappSync acts only as a technical gateway and is not responsible for the content, timing, or recipients of any message.
The Customer must not use the Services to:
- Send spam or unsolicited communications.
- Transmit illegal, abusive, hateful, misleading, or infringing Content.
- Impersonate others or misrepresent identity or authority.
- Circumvent technical safeguards, limits, or security controls.
- Use unauthorized automation or access methods outside the provided APIs.
5. Assigned Email Addresses & API Tokens
5.1 Nature of Access Credentials
Assigned Email Addresses and API Tokens function as technical access credentials to the Services.
Any message or request submitted using an Assigned Email Address or valid API Token will be treated as authorized instructions from the Customer.
WappSync has no technical ability to distinguish between the Customer, the Customer’s systems, employees, contractors, or unauthorized third parties once such credentials are used.
5.2 Customer Security Obligations
The Customer is solely responsible for:
- Keeping Assigned Email Addresses and API Tokens confidential and secure.
- Controlling where they are stored, embedded, forwarded, or integrated, including within CRMs, ERPs, monitoring or alerting systems, automation platforms, or third-party services.
- Preventing unauthorized access, disclosure, or misuse.
5.3 Compromise or Misuse
If an Assigned Email Address or API Token is compromised, leaked, or misused, the Customer acknowledges that:
- Unintended messages may be sent.
- Messages may reach the Customer and/or third-party End Recipients.
- Such misuse may result in enforcement actions by Messaging Platforms.
In the event of suspected or confirmed compromise, the Customer must immediately:
- Notify WappSync, and/or
- Deactivate, rotate, or revoke the affected Assigned Email Address or API Token via the dashboard or available controls.
WappSync shall not be responsible for messages sent prior to deactivation or for damages resulting from delayed or failed action by the Customer.
6. Data Protection & Processing
6.1 Roles
- The Customer acts as Data Controller.
- WappSync acts as Data Processor and processes personal data solely on the Customer’s instructions.
6.2 Message Storage
WappSync may store message data, including encrypted message content, strictly for purposes such as message transmission, error handling, retries, diagnostics, security, abuse prevention, and legal compliance. Such storage does not grant WappSync ownership or usage rights over Customer Content.

6.3 Message Storage, Instance Access, and History Disclaimer
The Customer acknowledges and agrees that WappSync is not a data archival, backup, or record-keeping service.
For Services that require pairing or linking a Customer’s phone number or messaging account to an instance managed by WappSync, the Customer expressly acknowledges that such pairing may grant the technical ability to access data available on that instance, including message history, metadata, contacts, groups, or other account-level information, in a manner functionally comparable to accessing the account through a web or desktop client.
WappSync does not monitor, review, or intentionally access such data, except where strictly necessary for service operation, connectivity, troubleshooting, security, or support. However, the Customer accepts that technical access is an inherent consequence of pairing and is required for the Services to function.
While encrypted messages and related metadata may be stored temporarily or persistently for operational, security, legal, compliance, or dispute-resolution purposes, WappSync does not guarantee the availability, completeness, integrity, accuracy, synchronization, or retention of any message history or account data.
Message data and chat history may be deleted, truncated, overwritten, desynchronized, anonymized, encrypted, corrupted, or lost due to technical limitations, software behavior of Messaging Platforms, platform updates, device changes, instance resets, reconnections, maintenance, infrastructure failures, or legal and regulatory requirements.
The Customer further acknowledges that message visibility, history continuity, and data retention on Messaging Platforms (including WhatsApp and Telegram) are governed by the Messaging Platform’s own systems, clients, synchronization logic, and policies, which are outside of WappSync’s control.
The Customer is solely responsible for maintaining independent records, exports, or backups of any Content or message history required for business, legal, audit, or compliance purposes.
WappSync shall not be liable for the loss, alteration, or unavailability of all or any part of message history, logs, or Content, whether occurring on the Services, on a paired instance, on the Customer’s device, or on any Messaging Platform, even if such data was previously accessible or visible.
7. Fees and Payment
Certain Services require payment. By purchasing paid Services, the Customer agrees that:
- Fees are charged according to the selected plan.
- All fees are non-refundable unless expressly stated otherwise.
- Non-payment may result in suspension or termination of Services.
- The fees cover access to WappSync’s infrastructure, platform, and availability of the Services, regardless of whether the Customer actually uses the Services. Non-use of the Services does not entitle the Customer to any refund.
8. Service Availability and Changes
WappSync may:
- Modify, suspend, or discontinue any part of the Services.
- Introduce usage limits or technical restrictions.
- Perform maintenance that may affect availability.
WappSync will do its best to provide near 100% availability of the Services, but cannot guarantee uninterrupted operation, continuity, or error-free performance. The Customer acknowledges that occasional outages, delays, or technical issues may occur, and WappSync is not liable for any consequences arising from such events.
9. Disclaimers
The Services are provided “as is” and “as available.”
WappSync makes no warranties, express or implied, and does not guarantee message delivery, message timing, or acceptance by Messaging Platforms or End Recipients. The Customer assumes all risks related to the use of third-party Messaging Platforms.
10. Limitation of Liability
To the maximum extent permitted by law:
- WappSync shall not be liable for indirect, incidental, special, or consequential damages, including loss of profits, revenue, data, or goodwill.
- WappSync shall not be liable for damages arising from misuse or compromise of Assigned Email Addresses or API Tokens, enforcement actions by Messaging Platforms, or third-party system or network failures.
- Total liability shall not exceed the fees paid by the Customer to WappSync in the twelve (12) months preceding the claim.
11. Messaging Platform Compliance
The Customer acknowledges that WappSync acts solely as a technical gateway for delivering messages to third-party Messaging Platforms, including WhatsApp and Telegram. The Customer is fully responsible for all Content, the legality of the messages, and compliance with the terms, policies, and acceptable use rules of each Messaging Platform.
WappSync does not control, review, or approve the Content sent through the Services and does not act as a partner, affiliate, or authorized representative of any Messaging Platform.
The Customer agrees that:
- Use of Messaging Platforms via WappSync must comply with all applicable laws and the platform’s terms of service.
- The Customer is solely responsible for ensuring that messages are not spam, unsolicited, abusive, or otherwise in violation of Messaging Platform policies.
- WappSync is not liable for any actions taken by Messaging Platforms, including but not limited to blocking, rate-limiting, suspension, or permanent bans of accounts, numbers, bots, or instances used in connection with the Services.
- WappSync will not be held responsible for any claims, damages, or enforcement actions arising from the Customer’s use of the Services in violation of Messaging Platform terms or applicable law.
By using the Services, the Customer agrees to indemnify, defend, and hold harmless WappSync, its officers, directors, employees, and affiliates from any claims, actions, liabilities, damages, fines, or losses resulting from the Customer’s Content or use of the Services in violation of Messaging Platform rules or applicable law.
12. Termination
WappSync may suspend or terminate access to the Services for violation of these Terms, legal or regulatory reasons, or to protect platform security or integrity. The Customer may terminate the account at any time, subject to outstanding obligations.
13. Governing Law and Jurisdiction
These Terms are governed by the laws of Romania. Any disputes shall be resolved exclusively by the competent courts of Romania.
